Terms of Use
Terms for using our website, data, dashboard and API services
Effective date: 1 October 2026 | Last updated: 1 October 2026
1. Introduction and acceptance
These Terms of Use ("Terms") govern your access to and use of the BillOfLadingData.com website and all data, dashboard, API, file delivery and related services (the "Services") provided by Digital Media Solutions AU Pty Ltd, trading as BillOfLadingData.com, of Level 5, 447 Collins Street, Melbourne VIC 3000, Australia ("we", "us" or "Provider").
In these Terms, "you" or "Client" means the company, organisation, individual or other legal entity that accesses, purchases or uses the website or Services. If you use the Services on behalf of an organisation, you confirm that you are authorised to accept these Terms on its behalf.
By accessing the website, creating an account, purchasing, or accessing, receiving or using any data or Services, you agree to these Terms. If you do not agree, do not use the website or Services.
Master Data Licence & API Services Agreement. These Terms summarise the key terms on which we supply data and Services. Our Master Data Licence & API Services Agreement (the "Agreement") governs all data and Services we supply. If there is any inconsistency between these Terms and the Agreement, or a specific written quotation, invoice, order or proposal accepted by you, the Agreement or that specific written commercial term applies to the extent of the inconsistency.
2. Definitions
- API means any application programming interface through which we make data or Services available.
- Data means any information, record, field, dataset, file, API response, database output, report or other information made available by us.
- Raw Data means records supplied in substantially their original or provider-processed form, including individual trade, customs, shipment, company, contact or compliance records.
- Derived Data means information, analysis, calculations, scoring, models, classifications, insights or other outputs created using or incorporating Data.
- Contact Data means professional or business contact information, such as names, job titles, business emails, telephone numbers and professional profile information.
- KYC/KYB Data means business verification, corporate identity, registration, ownership, compliance, risk, sanctions and related information.
- Third-Party Data Source means any government agency, customs authority, shipping source, public database, commercial data supplier, licensed provider or other external source from which we obtain Data.
3. Our Services
We supply commercial data and information services, including international import and export trade data; bill of lading, shipping, customs, manifest and declaration data; importer, exporter, supplier, buyer and trading-party information; company profiles; business contact information; company identification, standardisation and enrichment; KYC/KYB and business verification information; and derived trade intelligence and analytics.
Services may be delivered through our dashboard and web platform, API, CSV, XLSX, JSON or other electronic files, secure cloud storage, SFTP, reports, data feeds or another agreed electronic method.
4. Accounts and security
- You must provide accurate and complete information when creating an account and keep it up to date.
- You must protect your passwords, API keys, tokens and other access credentials and must not share them with unauthorised third parties.
- You are responsible for activity carried out using your credentials, unless that activity results directly from a failure of our security.
- You must notify us promptly if your credentials are lost, compromised or used without authorisation. We may revoke and reissue API keys where reasonably required for security.
5. API access and usage limits
API and platform access may be subject to credit, request, record, search, endpoint, rate, concurrency, download, pagination and fair-use limits, and other technical or commercial restrictions. We may establish, modify or apply different limits to different customers, plans, countries, sources or products where reasonably required for platform stability, security, misuse prevention, licensing or supplier requirements, cost control or legal reasons.
We may modify endpoints, authentication processes, API structures, request and response parameters, supported fields, data formats, documentation and infrastructure where reasonably required to maintain, improve, secure or operate the Services. We will use commercially reasonable efforts to avoid unnecessary disruption to active customers.
6. Fees, credits and payment
6.1 Fees
Fees are set out in the applicable pricing page, quotation, invoice, subscription or order. Unless otherwise agreed in writing:
- prices are quoted in US dollars (USD);
- fees are payable in advance;
- applicable taxes are additional; and
- payment processing, bank and transfer charges are your responsibility.
6.2 Credits
Where Services operate using credits:
- different Services, endpoints and record types may use different quantities of credits;
- one request may return multiple results and consume multiple credits;
- credits may be subject to validity or expiry periods, as stated in your plan or pricing;
- expired credits may cease to be available; and
- consumed credits are non-refundable, except where required by law or expressly provided in these Terms or the Agreement.
We may modify credit consumption, usage structures, endpoint costs, limits and package structures for future usage where reasonably necessary, for example because of changes in supplier pricing, infrastructure costs, licensing requirements or Third-Party Data Sources. Such changes do not retrospectively alter Data already purchased and delivered.
6.3 Subscriptions
Subscriptions run for the billing period shown at purchase and renew in accordance with your plan unless cancelled. Unused monthly allowances do not roll over unless your plan states otherwise.
6.4 Non-payment
We may suspend or terminate Services for overdue undisputed payments.
7. Data licence
7.1 Licence grant
Subject to payment of applicable fees and compliance with these Terms, we grant you a non-exclusive, worldwide commercial licence to access, use, store, process, combine, analyse, reproduce and commercially exploit purchased Data and deliverables.
7.2 Permitted uses
You may use Data for legitimate business purposes, including market research and intelligence, supply-chain analysis, sourcing and procurement, competitor and industry analysis, sales intelligence, lead generation, business development, risk analysis, compliance support, KYC/KYB research and due diligence, CRM enrichment, internal databases and data warehouses, analytics and modelling, artificial intelligence and machine-learning workflows, internal reporting, software and SaaS applications, dashboards, reports and other lawful commercial purposes.
7.3 Commercial resale
Subject to these Terms, commercial resale of Data is permitted. You may sell, resell, distribute or otherwise commercially provide Data, Raw Data and Derived Data to your own customers, online or offline, through reports, files, platforms, SaaS products, applications, your own APIs or other commercial services, provided you comply with the prohibited uses in section 8. You are responsible for ensuring your customers do not use Data in a prohibited manner.
7.4 Continued use of purchased Data
Unless expressly agreed otherwise, Data that has been fully paid for and lawfully delivered may continue to be stored, analysed, processed, used, incorporated into your systems, resold and commercially exploited after API credits expire, a subscription ends, Services are discontinued or your account is terminated, subject to the continuing terms of these Terms and the Agreement.
8. Prohibited uses
Despite the resale rights in section 7, you must not:
- sell or distribute Raw Data as a standalone bulk database substantially competing with us;
- publish substantial Raw Data openly online for public download, scraping or unrestricted redistribution;
- make our API credentials available to unauthorised third parties;
- misrepresent yourself as us, or falsely state that you are the original source or owner of our proprietary systems;
- copy, reverse-engineer or reproduce our proprietary API technology, software, database architecture, algorithms or technical systems;
- circumvent API usage limits, credit systems, authentication requirements or technical restrictions;
- scrape, crawl or obtain Data through hacking, credential abuse, automated circumvention or other unauthorised means;
- use Data for unlawful surveillance, harassment, fraud, discrimination or deceptive activity;
- use Data or the Services for sanctions evasion, unlawful defence trade, money laundering, prohibited export activity or other unlawful activities;
- knowingly provide Data to a person or entity you know will use it for unlawful purposes;
- use Contact Data for unlawful spam, illegal telemarketing or unlawful direct marketing;
- interfere with or disrupt the website, platform or API, or introduce malicious code; or
- use the website or Services in any manner prohibited by applicable law.
9. Nature of the Data
9.1 Trade Data
Trade Data is commercial information relating to the international movement of goods and may be derived from customs declarations, bills of lading, shipping manifests, import and export declarations, port, vessel and freight records, government trade records, customs authorities, licensed commercial sources and other lawful trade-related sources. Depending on the country, source and record type, it may include importer, exporter, shipper, consignee, notify party, manufacturer, origin and destination, port, shipment date, HS code, product description, quantity, weight, value, currency, bill of lading number and transport details.
International trade data is not standardised globally. Different countries, authorities and sources provide different fields, coverage, reporting periods, transport modes, entity information, values and levels of disclosure. The absence of a field or record does not necessarily mean that the relevant transaction, company or shipment does not exist.
Trade Data is supplied for commercial information, research and analytical purposes. We do not independently certify the underlying customs declaration, shipment, transaction, value, classification or company identity. You should independently verify information before relying on it for any material regulatory, legal, financial, compliance or commercial decision.
9.2 Contact Data
Contact Data may be collected, matched, standardised or enriched from public sources, company websites, business directories, professional databases, third-party providers, corporate information and trade records. Unless expressly stated otherwise, Contact Data is not represented as opt-in marketing data, and we do not guarantee it is complete, current or accurate. Any verification dates or confidence indicators are informational only.
You are responsible for determining how Contact Data may lawfully be used in your jurisdictions and must comply with applicable privacy, data-protection, direct-marketing, electronic communication, anti-spam, telemarketing, suppression-list, consent, unsubscribe and consumer-protection laws.
9.3 KYC, KYB and compliance Data
KYC/KYB and compliance Data is provided as an information and decision-support service only. Unless expressly agreed otherwise, we are not acting as regulated compliance counsel, legal counsel, a credit rating agency, a financial adviser or the final decision-maker on your regulatory or compliance decisions. A match, non-match, risk indicator, alert or absence of information should not be treated as conclusive. You remain responsible for final verification, risk assessment, enhanced due diligence, sanctions and onboarding decisions, and your own compliance programme.
10. Data sources, coverage and accuracy
A substantial portion of the Data originates from Third-Party Data Sources. Coverage may vary or change by country, source, authority, reporting period, transport mode, trade lane, supplier, disclosure requirements, licensing conditions, regulatory restrictions and commercial considerations.
We do not guarantee the accuracy, completeness, timeliness or continued availability of any Data. Data may contain errors, omissions, inconsistencies, duplicates, formatting differences, delayed or outdated information, missing fields or information later changed by the original source. Cleaning, standardisation, matching, verification and enrichment do not constitute a guarantee of accuracy.
We do not warrant that every transaction, shipment, company, importer, exporter, contact or jurisdiction will be available or identified, or that Data will remain continuously available. Any stated record count, company count, shipment count, historical volume, contact count, match rate or coverage percentage is an estimate unless expressly guaranteed in writing.
10.1 Data corrections
If you identify a material processing error attributable to us, rather than the original Third-Party Data Source, we will use commercially reasonable efforts to investigate, correct, replace or reprocess the affected records, or explain the relevant source limitation. An omission, error or inconsistency originating directly from a Third-Party Data Source does not automatically constitute a breach by us.
11. Changes and discontinuation of Services
We may at any time add, remove, replace or change Data sources; reduce or expand geographic or historical coverage; change update frequency, available fields, delivery methods, API access or usage limits; or modify or discontinue a particular Data product, country, endpoint or Service where reasonably necessary, including because of Third-Party Data Source availability, supplier decisions, licensing, pricing, legal, regulatory, security, technical or operational requirements. We will not be in breach merely because a Third-Party Data Source ceases, limits or changes the supply of Data.
11.1 Refund of unused prepaid credits
If we permanently discontinue a Service and you have prepaid unused credits that can no longer reasonably be used for an equivalent or substantially similar Service, we will either offer to apply those credits to another available Service or, if no reasonable alternative is available or you do not accept it, refund the value of the unused prepaid credits attributable to the discontinued Service. Refunds do not apply to credits already consumed, Data already delivered, completed searches or API requests, setup or activation fees already incurred, customised work already performed, or Services already supplied.
12. Intellectual property
We retain all rights in our website, platforms, APIs, software, source integrations, schemas, database structures, search technology, algorithms, matching and company-identification processes, documentation, data-processing and enrichment methodologies, quality-control processes and other pre-existing intellectual property. The licence to use or resell Data does not transfer ownership of our technology, database architecture, APIs, source contracts, algorithms, methodologies or proprietary systems.
You retain ownership of the data you supply to us, your systems and software, and your independently created analysis, models, reports, applications, Derived Data and value-added products, subject to our rights in the underlying Data and technology. All trademarks, logos and branding on the website belong to us or their respective owners.
13. Confidentiality
Each party must protect the other party's non-public confidential information, including pricing, commercial terms, API credentials, security information, technical documentation, source relationships, methodologies and proprietary business information, using reasonable care. Confidentiality obligations survive for five (5) years after termination, and trade secrets remain protected while they retain their confidential nature.
14. Privacy
Our collection and handling of personal information is described in our Privacy Policy, available on our website. Where you supply data to us for searching, matching or enrichment, you warrant that you are entitled to provide it and that it may lawfully be processed.
15. Warranties and disclaimers
We warrant that we have authority to provide the Services, will operate them in a commercially reasonable manner, have (to our knowledge) the rights or commercial arrangements necessary to supply the Services we offer, and will not knowingly introduce malicious software into deliverables.
You warrant that you have authority to accept these Terms, will use the Services lawfully, will comply with laws applicable to your use or resale of Data, and will not knowingly use or provide Data for prohibited activities.
Except for the express warranties in these Terms and to the maximum extent permitted by law, the website, Data and Services are supplied on an "as available" and "as is" basis. We do not warrant accuracy, completeness, uninterrupted availability, error-free Data, fitness for a particular purpose, merchantability, the availability of any particular record, country or source, or any commercial, sales, response, regulatory or business outcome. You are responsible for determining whether Data is appropriate for your intended purpose.
Australian Consumer Law. Nothing in these Terms excludes, restricts or modifies any guarantee, right or remedy that cannot lawfully be excluded, including under the Australian Consumer Law. Where our liability for a breach of such a guarantee can be limited, it is limited (at our option) to resupplying the Services or paying the cost of having them resupplied.
16. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, punitive, exemplary or consequential loss, including loss of profit, revenue, business opportunity, goodwill, anticipated savings or other indirect commercial loss.
Our aggregate liability arising from the Services will not exceed the fees you paid us for the affected Services during the six (6) months immediately before the event giving rise to the claim. Where the claim relates to a one-time purchase, our liability will not exceed the amount you paid for the affected Data or Services. Nothing limits liability that cannot lawfully be limited, and this limitation does not relieve you from paying valid amounts owed to us.
17. Indemnities
You will indemnify us against third-party claims, penalties, losses and reasonable costs arising directly from your unlawful use of Data, unlawful marketing or spam, breach of applicable privacy laws, prohibited use under these Terms, misuse of your API credentials, unlawful sanctions or export-control activity, or data you supplied without sufficient rights.
We will defend and indemnify you against a third-party claim alleging that our proprietary software, API technology or documentation, when used as expressly authorised, infringes that third party's intellectual property rights. This does not apply to claims resulting from Third-Party Data, public records, government data, your modifications, unauthorised combinations, misuse or use outside the scope of these Terms.
18. Suspension and termination
We may suspend all or part of the Services where reasonably required because of overdue payment, security risk, credential compromise, excessive usage, platform instability, unlawful activity, misuse, sanctions concerns, regulatory or Third-Party Data Source requirements, infrastructure or technical limitations, or material breach. Where commercially reasonable, we will attempt to notify you of a material suspension affecting active Services.
Either party may terminate for material breach not remedied within thirty (30) days after written notice. We may suspend or terminate more quickly where reasonably necessary because of unlawful conduct, data misuse, security threats, sanctions concerns, fraudulent activity, material non-payment or a serious breach of licence restrictions.
Termination ends future access to active subscriptions and APIs. You may continue to use and commercially resell Data that was lawfully obtained, fully paid for and delivered before termination, in accordance with section 7. Provisions concerning data licences, resale rights, confidentiality, intellectual property, limitation of liability, indemnities, payment obligations and dispute resolution survive termination where appropriate.
19. Audit and licence compliance
Where we have reasonable grounds to believe you are materially breaching technical access restrictions, API security requirements or the prohibited uses, we may request reasonable information. Any review will be reasonable and proportionate, protect your confidential information, avoid unnecessary disruption and relate only to the suspected breach. Permitted commercial resale is not itself grounds for an audit.
20. Force majeure
Neither party is liable for delay or failure caused by circumstances beyond its reasonable control, including government action, war, civil unrest, sanctions, natural disaster, telecommunications, internet or cloud-provider failure, cyberattack, Third-Party Data Source suspension, customs authority or government database outage, supplier failure, payment network disruption or major infrastructure failure. The affected party will use commercially reasonable efforts to minimise the impact.
21. Use of the website
You may use our website for lawful purposes only. You must not attempt to gain unauthorised access to the website or our systems, submit false or misleading information through our forms, use automated tools to scrape or harvest website content or Data, or interfere with the proper working of the website. Links to third-party websites are provided for convenience only, and we are not responsible for their content or practices.
22. Compliance with laws
Each party is responsible for complying with laws applicable to its own activities. You are responsible for laws governing your particular use, distribution and resale of Data, which may include privacy, data-protection, direct-marketing, electronic communication, sanctions, export-control, consumer-protection and competition laws.
23. Governing law and disputes
Unless expressly agreed otherwise in writing, these Terms are governed by the laws of Victoria, Australia. Before commencing formal proceedings, the parties will attempt in good faith to resolve any dispute through commercial discussions between authorised representatives. If the dispute remains unresolved thirty (30) days after written escalation, either party may commence proceedings in the courts of Victoria, Australia. Nothing prevents either party from seeking urgent injunctive or equitable relief.
24. General
- Independent contractors: nothing in these Terms creates an employment, partnership, agency, fiduciary or joint-venture relationship.
- Assignment: neither party may assign these Terms without the other's prior written consent (not unreasonably withheld), except to an affiliate or a successor following restructuring, merger, acquisition or sale of substantially all relevant business assets.
- Subcontractors: we may use affiliates, subcontractors, infrastructure and technology providers, Third-Party Data Sources, data licensors and other suppliers in supplying the Services.
- Notices: formal notices may be given by email to the authorised business or legal contact of the relevant party.
- Entire agreement: these Terms, the Agreement, and applicable quotations, invoices and specifically agreed written commercial terms form the entire agreement regarding the Services.
- Severability: if any provision is invalid or unenforceable, it will be modified to the minimum extent necessary and the rest will continue in effect.
- No waiver: failure to enforce any right is not a waiver of that right.
- Electronic acceptance: these Terms may be accepted electronically, including through an online purchase or by accessing or using the Services.
25. Changes to these Terms
We may amend, update or replace these Terms from time to time where reasonably required for legal, regulatory, commercial, operational, technical, security, licensing, supplier or Third-Party Data Source reasons. We may give notice by email, through your account or platform, by publication on our website, or by another reasonable electronic method.
Any amendment that materially and adversely changes your existing contractual rights will apply prospectively and, unless a shorter period is reasonably required by law, regulation, security, supplier or Third-Party Data Source requirements, will take effect no earlier than thirty (30) days after notice. Non-material, technical, operational, compliance or clarifying changes may take effect on the date we specify. Your continued use of the Services after an amendment takes effect constitutes acceptance. If you do not accept a material adverse amendment, you may stop using future Services before it takes effect. Rights in Data already fully paid for and lawfully delivered remain subject to the licence terms that applied to that Data, except to the extent a change is required by law or necessary to prevent unlawful use.
